Terms of Use
Acceptance of these terms
These Terms of Use govern your access to and use of www.cenors.com (the “website”), operated by Cellulonova Research Solutions LLP, a Limited Liability Partnership registered in India with its registered office in Kochi, Kerala.
By browsing the website, submitting an enquiry or engaging our services, you agree to these terms. If you do not accept them, please do not use the website or submit material to us.
Where you act on behalf of a university, hospital, institute or company, you confirm that you are authorised to accept these terms for that organization.
About this website
The website describes who we are and the research consultancy, histology, histopathology, image analysis and preclinical research support services we offer. The content is provided for general information about our capabilities.
Nothing on this website constitutes an offer capable of acceptance, a quotation, a warranty of result, or a commitment to take on a particular project. Work begins only when scope, price and timelines are agreed in writing between us.
Permitted use of the website
You may view, download and print pages for your own research or organizational reference. You may not:
- copy, republish or redistribute substantial parts of the site for commercial purposes without our written consent;
- use the site or any material on it to imply an association, endorsement or accreditation that does not exist;
- attempt to gain unauthorised access to the site, its hosting infrastructure or any connected system;
- introduce malicious code, scrape the site at a rate that disrupts service, or attempt to interfere with its operation; or
- use our enquiry form to send unsolicited marketing, spam or unlawful content.
We may suspend or withdraw access to the website at any time, and without notice, where we consider it necessary.
Intellectual property in site content
The Cellulonova name, logo, page design, text, photographs, micrographs and other material on this website are owned by or licensed to Cellulonova Research Solutions LLP and are protected by applicable intellectual property law. All rights not expressly granted are reserved.
Third-party names, trademarks and institutional logos that may appear remain the property of their respective owners and are used for identification only.
Enquiries, uploads and submissions
When you send an enquiry or upload a document, you confirm that you are entitled to share it, that it does not infringe any third party’s rights, and that it contains no identifiable patient data unless we have agreed the arrangements for that in advance.
An enquiry creates no contract and no obligation on either side. Information you send before an agreement is signed is treated as confidential in line with our Privacy Policy, but we recommend that genuinely sensitive proposals be shared only after a non-disclosure agreement is in place. We are happy to sign one.
Nature of our services — research use only
Our services are provided for research, academic, preclinical and product-development purposes.
- Reports, images, measurements and interpretations are issued for research use only.
- They are not a clinical diagnosis, not a medical opinion on the care of any individual, and must not be used to guide the treatment of any patient.
- They are not issued as an accredited clinical laboratory report and should not be represented as one.
- Nothing we provide constitutes medical, legal or regulatory advice.
If you require a diagnostic result for patient care, please obtain it from an accredited clinical diagnostic laboratory.
Engagement, quotations and scope
Each engagement is defined by a written quotation, work order or service agreement setting out the scope, deliverables, turnaround time and fees. Quotations are valid for the period stated in them, and are based on the sample numbers, condition and specifications you describe.
Where the actual material or requirement differs — more samples, additional stains, repeat sectioning, poor fixation, or a change of endpoint — we will tell you and agree a revised scope and fee before continuing. Timelines are good-faith estimates and may be affected by sample condition, transit, third-party steps or events outside our control.
Sample submission, handling and retention
You are responsible for:
- ensuring samples are correctly fixed, labelled, documented and packaged for transit, and that transport complies with applicable rules for biological material;
- telling us in advance of any known biological, chemical or radiological hazard associated with the material;
- holding all required ethics, institutional, animal-welfare and regulatory approvals before the material is collected or sent; and
- retaining your own backup material where the study cannot be repeated.
Histological processing is by nature partly destructive. While we take all reasonable care, we cannot guarantee against loss or damage to irreplaceable material arising from processing, transit or circumstances beyond our control. Residual blocks, slides and material are retained for the period stated in your agreement and are then returned to you or disposed of through approved biomedical waste routes.
Your obligations
You agree to provide accurate study information, to respond to queries that affect the work in reasonable time, to use our results only for the purpose for which they were commissioned, and to comply with all laws and approvals applicable to your research.
We may decline or discontinue any work that we consider scientifically unsound, unethical, unlawful, or outside our competence, and we will explain why.
Confidentiality
Each party will keep the other’s confidential information in confidence, use it only for the engagement, and disclose it only to personnel who need it and who are under equivalent obligations. This does not apply to information that is public through no fault of the receiving party, already lawfully held, independently developed, or required to be disclosed by law or by a regulatory or ethics body.
These obligations continue after the engagement ends, for the period set out in your agreement with us.
Ownership of results and background IP
Unless the agreement between us says otherwise:
- the samples you submit and the raw data and reports generated specifically for your project belong to you on payment of our fees in full;
- our methods, protocols, know-how, templates and prior intellectual property remain ours, and nothing in an engagement transfers them; and
- we retain a copy of project records as needed for quality, traceability and legal purposes, subject to confidentiality.
Where an engagement is expected to generate patentable inventions or jointly created IP, ownership should be settled in writing before work starts.
Publication, authorship and acknowledgement
You are free to publish results generated from your project. We ask that our contribution be acknowledged appropriately. Where our scientific input amounts to an intellectual contribution to the work, authorship should be discussed in line with accepted authorship criteria.
We will not publish, present or use your data or images — including in our own portfolio or on this website — without your prior written consent.
Ethical and regulatory compliance
Responsibility for ethics approvals rests with the submitting researcher or institution. By engaging us you confirm that all required approvals are in place, including institutional ethics committee clearance for human material, institutional animal ethics committee clearance for animal studies, and any biosafety, import, export or transfer permissions that apply to the material. We may ask to see approval references and may decline work until they are provided.
Fees, payment and cancellation
Fees, taxes and payment terms are as stated in the applicable quotation or agreement. Unless agreed otherwise, invoices are payable within the period stated on the invoice, and deliverables may be withheld until payment is received. Bank charges and applicable taxes are payable by you.
If you cancel work that has already begun, you remain liable for costs incurred and work performed up to the date of cancellation, including consumables committed to your project.
Disclaimers
The website and its content are provided “as is”. We take care to keep the site accurate and available, but we do not warrant that it will be uninterrupted, error-free or free of harmful components, nor that any information on it is complete or current.
Services are performed with the reasonable skill and care expected of a competent research laboratory. We do not warrant any particular scientific outcome, result, publication, regulatory acceptance or commercial success, since these depend on the underlying biology and on factors outside our control.
Limitation of liability
To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with an engagement is limited to the fees paid by you for the specific work giving rise to the claim.
We are not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, grant funding, publication opportunity, data or goodwill, however caused.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or for death or personal injury caused by negligence.
Indemnity
You agree to indemnify us against claims, losses and reasonable costs arising from your breach of these terms, from material submitted without the required approvals or rights, from undisclosed hazards in material sent to us, or from use of our reports for clinical, diagnostic or other purposes outside the agreed scope.
Third-party links and services
The website may link to external sites and may load resources such as web fonts from third-party providers. We do not control those sites or services and accept no responsibility for their content, availability or practices. A link is not an endorsement.
Privacy
Our handling of personal data and research information is described in our Privacy Policy, which forms part of these terms.
Changes to these terms
We may revise these terms from time to time. The version published on this page at the time you use the website applies to that use. Terms agreed in a signed contract with you are changed only by written agreement between us, not by an update to this page.
Governing law and jurisdiction
These terms and any dispute arising from them are governed by the laws of India. The courts at Ernakulam, Kerala, have exclusive jurisdiction, save that either party may seek injunctive relief in any competent court to protect confidential information or intellectual property.
Before commencing proceedings, the parties will attempt in good faith to resolve the dispute through discussion between authorised representatives.
